1. Services Provided

1.1 Schooled By Hardnox provides business consulting services, including but not limited to:

  • business health checks and assessments,

  • operational and financial improvement strategies,

  • café and hospitality consulting,

  • staff training, including hospitality and coffee fundamentals, and

  • general guidance on business operations and management.

1.2 We provide guidance, recommendations, and strategies based on experience and industry knowledge. However, the responsibility for implementing such advice remains with you, the client.

2. General Advice Only

2.1 Any business, financial, or operational advice provided by us is general in nature. It does not take into account your specific circumstances, financial situation, or objectives.

2.2 You should obtain independent professional advice from your accountant, bookkeeper, financial advisor, or other qualified professional before making any financial or business decisions.

2.3 By using our services, you acknowledge that:

  • advice provided by us is not tailored financial advice;

  • we are not licensed financial advisors; and

  • you bear sole responsibility for your business and financial decisions.

3. No Guarantee of Results

3.1 Business outcomes depend on many factors beyond our control, including but not limited to:

  • your level of effort and commitment,

  • market conditions,

  • industry changes, and

  • management decisions.

3.2 We do not and cannot guarantee that the implementation of our strategies or recommendations will result in increased revenue, profitability, business growth, or sale price.

3.3 To the fullest extent permitted by law, we disclaim liability for any loss, damage, or claims (whether direct, indirect, or consequential) arising from the use of our services or reliance on our advice.

4. Client Responsibilities

4.1 You are responsible for:

  • providing accurate, up-to-date, and complete information regarding your business,

  • ensuring that your financial records and P&L statements are true and correct,

  • implementing any advice or strategies provided, and

  • complying with all applicable laws, regulations, and licensing obligations relevant to your business.

4.2 We are not responsible for delays, errors, or negative outcomes resulting from inaccurate or incomplete information supplied by you.

5. Fees and Payments

5.1 Fees for services are as set out on our website, proposals, or invoices, unless otherwise agreed in writing.

5.2 Payment terms are as follows (unless otherwise stated):

  • deposits are non-refundable,

  • full payment is required prior to delivery of final reports or strategies, and

  • overdue accounts may attract late fees or suspension of services.

5.3 All prices are listed in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.

5.4 Regional clients (outside metropolitan Melbourne) will incur an additional fee of AUD $80. This surcharge applies on top of all listed pricing and is payable at the time of booking or invoicing.

6. Cancellations and Refunds

6.1 Appointments may be rescheduled with at least 48 hours’ notice.

6.2 Cancellations made within 48 hours of a scheduled appointment may result in forfeiture of your deposit.

6.3 Refunds will only be provided where required under Australian Consumer Law.

7. Intellectual Property

7.1 All content, resources, templates, reports, and training materials provided by us are the intellectual property of Zolari Pty Ltd.

7.2 You may not reproduce, distribute, adapt, or share our intellectual property without our written consent, except for personal use within your own business.

8. Confidentiality

8.1 We respect the confidentiality of all information provided by you.

8.2 We may collect, store, and use information to provide consulting services but will not disclose it to third parties without your consent, unless required by law.

8.3 You also agree to respect the confidentiality of any proprietary methods, resources, or strategies we provide.

9. Website Use

9.1 You must not use our website or services for unlawful purposes or in a way that interferes with their operation.

9.2 We do not warrant that this website will be error-free, secure, or continuously available.

  • failure to achieve expected business outcomes.

12.2 Our liability for any breach of these Terms & Conditions is limited to the resupply of services or a refund of fees paid, at our discretion.

13. Referral Fees

13.1 From time to time, we may recommend or refer you to third-party businesses, such as accountants, bookkeepers, insurance brokers, finance providers, or other professional service providers.

13.2 In some cases, Zolari Pty Ltd may receive a referral fee, commission, or other benefit from these third-party businesses.

13.3 We will only proceed with such referrals with your knowledge and consent. You are under no obligation to use any referred business, and you are encouraged to make your own enquiries before engaging any third party.

13.4 We accept no liability for the services, performance, or outcomes provided by third-party businesses.

14. Governing Law

These Terms & Conditions are governed by the laws of Victoria, Australia. Any disputes will be resolved exclusively in the courts of Victoria.

15. Amendments

We may update or amend these Terms & Conditions at any time. Updated versions will be posted on this website and will take effect immediately upon publication.
